NEW YORK – CIT Group Inc. (NYSE: CIT) announced today that it has commenced a previously announced tender offer for all of the outstanding shares of common stock of Education Lending Group, Inc. (Nasdaq: EDLG) for $19.05 per share, net to the seller in cash. The tender offer is being made pursuant to an Agreement and Plan of Merger, dated as of January 4, 2005 among Education Lending Group, Inc., CIT Group Inc., and CIT ELG Corporation, a wholly owned subsidiary of CIT Group Inc. The tender offer remains open until 12:00 midnight, New York City time, on Friday, February 11, 2005, unless extended. Following completion of the tender offer, any remaining shares of Education Lending Group, Inc. will be acquired in a second-step merger at the same price.
